Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Freya Cost Pressure Index ("FCPI"), a market intelligence product operated by TetriXX Pte. Ltd. (UEN 202135956H), a company incorporated in Singapore, with its registered office in Singapore ("TetriXX", "we", "us", or "our").

By accessing or using the FCPI at fcpi.tetrixx.ai or any related services, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

The FCPI is a supply chain cost pressure intelligence service that tracks market signals across global trade lanes and provides forward-looking cost pressure analysis. The Service is offered in three tiers:

• FCPI Free - Complimentary access to a summary market overview.
• FCPI Pro - Paid subscription providing detailed lane-level analysis, cost pressure calculators, and weekly reports.
• FCPI Pro+ - Premium paid subscription with full analysis including all Pro features plus extended historical data, EBITDA impact modelling, and priority support.

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for material changes affecting paid subscribers.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

To access paid features, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us promptly at contact@tetrixx.sg if you suspect unauthorised use of your account.

5. Free Trial

We may offer a free trial period for paid tiers. During the free trial:

• You will have full access to the features of the selected tier.
• No payment will be charged during the trial period.
• If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable fee.
• Free trials are limited to one per person or organisation. We reserve the right to revoke trial access if we detect abuse.

6. Subscriptions and Payment

6.1 Billing

Paid subscriptions are billed on a recurring monthly basis. All payments are processed by Paddle.com Market Limited ("Paddle"), who acts as our Merchant of Record. When you purchase a subscription, you are buying from Paddle, and Paddle's terms apply to the payment transaction.

Paddle handles all billing, invoicing, sales tax, and VAT on our behalf. Your payment receipt will be issued by Paddle.

6.2 Pricing

Current pricing is displayed on the FCPI website. All prices are in US Dollars (USD) and exclusive of taxes. Applicable taxes (including GST, VAT, and other local taxes) will be added by Paddle at checkout based on your location and are your sole responsibility.

6.3 Price Changes

We may adjust subscription pricing from time to time. Price changes will take effect at the start of the next billing cycle following at least 30 days' notice sent to your registered email address. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.

6.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting contact@tetrixx.sg. Upon cancellation:

• You retain access to paid features until the end of your current billing period.
• No further charges will be incurred after the current billing period.
• Your account will revert to FCPI Free access at the end of the billing period.

7. Intellectual Property

The FCPI is designed and engineered by TetriXX Pte. Ltd. All content, data, methodologies, algorithms, indices, models, reports, software, source code, design, and branding associated with the FCPI and TetriXX are the exclusive property of TetriXX Pte. Ltd. or its licensors and are protected by applicable intellectual property laws, including copyright, trade secret, and patent laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use FCPI content for your internal business purposes only. You may not:

• Redistribute, resell, sublicence, or publicly display FCPI reports or data.
• Use automated tools (scrapers, bots) to extract data from the Service.
• Remove or alter any proprietary notices, watermarks, or attribution.
• Use FCPI data to build a competing product or index.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data models, or methodologies underlying the FCPI.
• Attempt to reconstruct, replicate, or approximate the FCPI's proprietary calculations, scoring models, or prediction engines by any means.

Any breach of this Section 7 shall constitute a material breach of these Terms and may result in immediate termination and legal action.

8. Data, Privacy, and Security

Your use of the Service is also governed by our Privacy Policy, available at fcpi.tetrixx.ai/privacy-policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

We collect only the data necessary to provide the Service, including your name, email address, company name, and payment information (processed by Paddle). We do not sell your personal data to third parties.

8.1 Compliance and Certifications

TetriXX operates the FCPI in accordance with the following standards and regulations:

• ISO 27001:2022 - Information Security Management System.
• SOC 2 Type II - Security, Availability, and Confidentiality.
• GDPR - General Data Protection Regulation (EU and UK).
• PDPA - Personal Data Protection Act 2012 (Singapore).

8.2 Data Deletion

Upon termination or cancellation of your subscription, any personal data and account-specific content stored on the FCPI platform will be deleted within 30 calendar days, unless we are required by law to retain certain data for a longer period. You may request earlier deletion by contacting contact@tetrixx.sg.

9. Disclaimers and No Reliance

• The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
• FCPI readings, projections, suggestions, and analysis are generated using publicly available market data and proprietary models. They may contain inaccuracies. Past prediction accuracy does not guarantee future accuracy.
• Market data used in the FCPI is sourced from third-party providers. We are not responsible for the accuracy, completeness, or timeliness of third-party data.
• TetriXX accepts no responsibility or liability for any action taken or decision made by you or any third party based on information, suggestions, or content delivered by the FCPI.

10. Limitation of Liability

To the maximum extent permitted by the laws of Singapore:

• TetriXX shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages of any kind arising from your access to, use of, or inability to use the Service, including but not limited to any decisions made or actions taken in reliance on FCPI data, reports, or analysis.
• You acknowledge that the FCPI is provided for general informational purposes only and that any reliance on FCPI content is entirely at your own risk.
• TetriXX's total aggregate liability for any and all claims arising from or related to the Service shall be zero (SGD 0).
• Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited under applicable Singapore law.

11. Indemnification

You agree to indemnify and hold harmless TetriXX, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms.
• Your misuse of the Service.
• Your violation of any applicable law or regulation.

12. Non-Payment

If any subscription payment fails or is not received by the due date:

• Your access to paid features will be suspended immediately upon payment failure.
• If payment is not resolved within 7 calendar days, your subscription will be terminated automatically.
• Upon termination for non-payment, your account will revert to FCPI Free. Any account-specific data stored on the FCPI Pro or Pro+ platform will be deleted within 30 calendar days in accordance with Section 8.2.

13. Termination

We may suspend or terminate your access to the Service at any time if:

• You breach any provision of these Terms.
• Your payment fails or is overdue (see Section 12).
• We are required to do so by law.
• We reasonably believe your use of the Service poses a security risk or may cause harm to other users or third parties.

Upon termination, your right to access paid features ceases immediately. Any account-specific data will be deleted within 30 calendar days (Section 8.2). Provisions that by their nature should survive termination (including Sections 7, 9, 10, 11, and 15) will survive.

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For paid subscribers, we will also send a notification to your registered email address at least 14 days before the changes take effect.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Rules for the time being in force. The seat of arbitration shall be Singapore. The language of arbitration shall be English.

16. General Provisions

• Severability - If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Entire Agreement - These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TetriXX regarding the Service.
• Waiver - No failure or delay by TetriXX in exercising any right under these Terms constitutes a waiver of that right.
• Assignment - You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity.
